1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of HelloWave, including our dashboard, embeddable widgets, and related services (together, the "Service"), operated by HelloWave ("HelloWave", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity.

2. The Service

HelloWave lets you create embeddable widgets — including content feeds, lead capture forms, announcement bars, text-input prompts, and quizzes — and place them on websites you own or control by adding a script tag we provide. We may add, change, or remove features from the Service at any time.

3. Accounts

You must provide accurate information when creating an account and keep your login credentials confidential. You're responsible for all activity that happens under your account. Tell us right away if you suspect unauthorized access.

4. Plans, Billing & Cancellation

HelloWave offers a free plan and paid subscription plans with different widget and usage limits, described on our pricing page. Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. Prices may change with notice; changes take effect at your next billing cycle. You may cancel a paid plan at any time through your billing settings; cancellation takes effect at the end of the current billing period and we do not provide partial refunds for unused time, except where required by law.

5. Your Widgets and Content

You retain ownership of the content you configure in your widgets (titles, copy, images, links, quiz questions, and similar). You're solely responsible for that content and for ensuring you have the rights to use it. You're also responsible for how you use the Service on your own websites, including obtaining any consents required from your visitors under applicable law before collecting their information through a widget (for example, an email capture or quiz).

6. Acceptable Use

You agree not to use the Service to:

• Violate any law, or the rights of any third party;
• Distribute malware, or content that is deceptive, fraudulent, or misleading;
• Collect sensitive personal information without a lawful basis and appropriate disclosure;
• Attempt to disrupt, overload, or gain unauthorized access to the Service or other accounts;
• Resell or white-label the Service without our written permission.

7. Data and Privacy

Our Privacy Policydescribes how we collect and use information, including information about visitors to your website who interact with your widgets. By using the Service, you agree to that Privacy Policy.

8. Intellectual Property

HelloWave and its licensors own all rights in the Service itself, including our software, branding, and documentation. Nothing in these Terms transfers any of that to you, beyond the limited right to use the Service as intended.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, or if we reasonably believe your use of the Service creates risk or legal exposure for HelloWave or others. Sections that by their nature should survive termination (like billing obligations already incurred, and limitations of liability) will survive.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee the Service will be uninterrupted, error-free, or that data such as geolocation or weather values will always be accurate.

11. Limitation of Liability

To the maximum extent permitted by law, HelloWave will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim arose.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll take reasonable steps to notify you, such as posting a notice on our site or emailing the address on your account. Continued use of the Service after changes take effect means you accept the updated Terms.
